Terms of Service - YourTradeBase.com

When you use FORTY TWO LTD's web sites yourtradebase.com and go.yourtradebase.com, you agree to be bound by the following terms and conditions ("Terms of Service").

FORTY TWO LTD reserves the right to amend the Terms of Service from time to time without notice. Any new features that add to or improve the current Service, including the release of new tools and resources, shall be subject to these Terms of Service. If you continue to use the Service after such changes, this will constitute agreement to those changes. Violation of any of the terms below will result in the termination of your Account.

Account Terms

  1. You must be 18 years or older to use this Service.
  2. To sign up for the Service, you must a valid email address and all other information requested.
  3. The responsibility for maintaining the security of your account and password is yours. FORTY TWO LTD cannot, and will not, be liable for any loss or damage should you fail to comply with this obligation.
  4. You are responsible for all Content posted on your account.
  5. You are responsible for all activity occurring on your account.
  6. You may not use the Service for any illegal or unauthorized purpose. This includes, but is not limited to, copyright laws.

Payment, Refunds, Upgrading and Downgrading Terms

  1. A valid credit card is required for paying accounts.
  2. For monthly subscriptions, the Service is billed in advance on a monthly basis and is non-refundable. There will be no refunds or credits for partial months of service.
  3. For annual subscriptions, the Service is billed annually in advance. Cancellation during the year will lead to a refund of any complete months oustanding at a pro rata rate for the annual subscription. Refunds from annual subscriptions will be processed within 14 days.
  4. The subscription charges listed are exclusive of all taxes, levies, or duties imposed by taxing authorities. With the exception of federal or state taxes in the US, you remain responsible for payment of all such taxes, levies, or duties.

Cancellation of the Service

  1. You can cancel your account at any time by using the cancellation link in the 'Account & Billing' section of your Settings.
  2. You are responsible for the proper cancellation of your account and cancellation must be processed through the Service itself. Cancellations cannot be accepted as a result of an email or phone call.
  3. The details of your account and all the information held within it – including invoices, estimates, and jobs – will be immediately deleted from the Service upon cancellation. This information can not be restored once the cancellation of your account has been processed.
  4. If you cancel the Service before the end of your current paid up month, your cancellation will take effect immediately and you will not be charged again. There is no refund for 'unused' days.
  5. FORTY TWO LTD has the right to suspend or cancel your account and refuse all use of the Service, for any reason and at any time. Termination of the Service will lead to the deactivation or deletion of your Account all the Content in your Account. FORTY TWO LTD reserves the right to refuse use of the Service to anyone for any reason at any time.

Modifications to the Service and Prices

  1. FORTY TWO LTD reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.
  2. Prices of all Services, including but not limited to monthly subscription plan fees to the Service, are subject to change upon 30 days notice from us. Such notice may be provided at any time by posting the changes to the YourTradeBase Site (yourtradebase.com) or the Service itself.
  3. FORTY TWO LTD shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.

Copyright and Content Ownership

  1. All content posted on the Service is must comply with international copyright law.
  2. We claim no intellectual property rights over the material you provide to the Service. Your profile and materials uploaded remain yours.
  3. The look and feel of the Service is copyright ©2009 - 2012 FORTY TWO LTD. All rights reserved. You may not duplicate, copy, or reuse any portion of the HTML/CSS/PHP or visual design elements without express written permission from FORTY TWO LTD.

General Conditions

  1. You confirm your use of the service is for business use, and you are registering as a business user.
  2. You use the Service entirely at your own risk. The service is provided "as is" and on an "as available" basis.
  3. Technical support is only available via email.
  4. You are aware that FORTY TWO LTD uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service.
  5. You must not modify, adapt, or hack the Service or change another web site so make it appear to be associated with the Service, FORTY TWO LTD, or any other FORTY TWO LTD service.
  6. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission by FORTY TWO LTD.
  7. Verbal, physical, written, or other abuse (including threats of abuse or retribution) of any FORTY TWO LTD customer, employee, member, or officer will result in immediate Account termination.
  8. You understand that the technical processing and transmission of the Service, including your Content, may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.
  9. You must not upload, post, host, or transmit unsolicited email, SMSs, or "spam" messages.
  10. You must not transmit any worms or viruses or any code of a destructive nature.
  11. FORTY TWO LTD does not warrant that (i) the service will meet your specific requirements, (ii) the service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the service will be accurate or reliable, and (iv) any errors in the Service will be corrected.
  12. You expressly understand and agree that FORTY TWO LTD shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if FORTY TWO LTD has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) or any other matter relating to the service.
  13. The latest Terms of Service makes up the entire agreement between you and FORTY TWO LTD and governs your use of the Service. Should we fail to enforce or act upon any part of the Terms, this should not be understood to mean that we are waiving the conditions inherent in any part of the Terms.
